Morris law has advised Arc Aroma Pure AB (publ), whose shares are listed on NASDAQ First North Premier, in connection with a rights issue for which the subscription period ended on 2 April 2019.
As shareholder interest was very strong, the rights issue was oversubscribed, corresponding to approximately 10 per cent of the offered number of shares. In order to meet the strong interest, the board of directors in Arc Aroma Pure resolved to use a so-called over- allocation option. Through the rights issue and the over- allocation option, Arc Aroma Pure will issue 1,769,857 new shares of series B and will receive proceeds amounting to approximately 42 million SEK.
Arc Aroma Pure is based in Lund and has developed a way to control electrical pulses that provide a high energy yield. The CEPT® platform, which is a generator, uses the technology of biogas, sewage treatment and extraction. The platform uses short-term high-voltage pulses that blow the cell membrane and kill unwanted microorganisms. Efficiency of biogas production and the introduction of new raw materials that can´t be used today are in focus. Water, ballast water and liquid foods are examples of other CEPT® applications.
In connection with the rights issue, Erik Penser Bank AB acted as financial advisor to Arc Arcoma Pure.
The Morris Law’s team mainly consisted of Anders Eriksson, Gustav Thorslund, Per Granström and Carl Friberg.
